1. Introduction & Acceptance of Terms

ProgzTech is operated by Progztech Solutions PVT LTD ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of all websites, software products, SaaS platforms, APIs, dashboards, mobile applications, and related services operated by Progztech Solutions PVT LTD under the progztech.com domain and its subdomains (collectively, the "Services").

By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Definitions

• "User," "you," or "your" refers to any individual or entity accessing or using our Services.
• "Account" refers to the registered user profile created to access our Services, typically through Progz Accounts.
• "Platform Products" refers to software products offered by the Company, including Inboxguard (currently available) and future products such as Market Intel and Analyst.
• "Progz Accounts" refers to our unified identity, organization, billing, and product access platform.
• "Professional Services" refers to custom software development, consulting, integrations, and related services provided by the Company.
• "Subscription" refers to paid or trial access to our Platform Products.
• "Content" refers to any data, text, images, or other materials uploaded, submitted, or processed through our Services.

3. Scope of Services

Progztech Solutions PVT LTD provides the following:

• Platform Products: Cloud-based software solutions accessible via subscription models. Inboxguard is our currently available product; additional products may be released over time.
• Progz Accounts: Unified identity, organizations, billing, and product access across the Progz ecosystem.
• Professional Services: Custom application development, system integration, digital consulting, and related services.
• APIs and Cloud Services: Programmatic access to our platforms and cloud-based infrastructure services.

4. User Accounts & Responsibilities

4.1 Account Creation

To access certain Services, you may be required to create an Account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your Account information.
• Be at least 18 years of age or have parental/guardian consent.

4.2 Security Responsibilities

You are responsible for:

• Maintaining the confidentiality of your Account credentials.
• All activities that occur under your Account.
• Notifying us immediately of any unauthorized access or security breach.

4.3 Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You will not use our Services to transmit, distribute, or store material that is unlawful, defamatory, or infringes upon intellectual property rights.

5. Subscriptions, Pricing & Payments

5.1 Payment Processing

All payments for our Services are processed through third-party payment gateways. Progztech Solutions PVT LTD does not store or have access to your complete credit card information, CVV, or other sensitive payment data.

5.2 Subscription Fees

Subscription fees are billed in advance on a recurring basis (monthly, annually, or as otherwise specified). By subscribing, you authorize us to charge your selected payment method for the applicable fees.

5.3 Price Changes

We reserve the right to modify our pricing. Any price changes will be communicated to you at least 30 days in advance and will apply to subsequent billing cycles.

5.4 Taxes

All fees are exclusive of applicable taxes, duties, or levies. You are responsible for payment of all such taxes.

6. Free Trials & Plan Changes

6.1 Trial Limitations

We may offer free trials for certain Services. Free trials are subject to limitations on features, usage, or duration. We reserve the right to modify or discontinue free trial offers at any time.

6.2 Plan Changes

You may upgrade, downgrade, or cancel your Subscription at any time through your account dashboard. Changes will take effect at the start of the next billing cycle unless otherwise specified.

7. Refunds & Cancellations

Our refund and cancellation policies are detailed in our separate Refund & Cancellation Policy. Generally:

• Refund requests must be submitted within the applicable guarantee period.
• Subscription cancellations take effect at the end of the current billing period.
• No refunds are provided for partial months or unused portions of annual subscriptions unless required by law.

8. Intellectual Property

8.1 Ownership

All intellectual property rights in our Services, including software, designs, trademarks, logos, and documentation, are owned by Progztech Solutions PVT LTD or our licensors. These Terms do not grant you any ownership rights.

8.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes.

8.3 User Content

You retain ownership of any Content you submit to our Services. By submitting Content, you grant us a worldwide, royalty-free license to use, store, and process such Content solely to provide and improve our Services.

9. Prohibited Activities

You agree not to:

• Reverse engineer, decompile, or disassemble any part of our Services.
• Use automated systems (bots, scrapers) to access our Services without authorization.
• Attempt to gain unauthorized access to our systems or other users' Accounts.
• Transmit viruses, malware, or any harmful code.
• Violate any applicable laws or regulations.

• Use our Services to send spam, phishing emails, or engage in fraudulent activities.

10. Service Availability & Maintenance

10.1 As-Is Basis

Our Services are provided on an "as-is" and "as-available" basis. We do not guarantee uninterrupted, error-free, or secure operation.

10.2 Maintenance

We may perform scheduled or emergency maintenance that may result in temporary service interruptions. We will make reasonable efforts to notify you in advance of scheduled maintenance.

10.3 Third-Party Dependencies

Our Services may rely on third-party infrastructure, APIs, or services. We are not responsible for failures or issues caused by third-party providers.

11. Limitation of Liability

To the maximum extent permitted by law:

• Progztech Solutions PVT LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services.
• Our total liability for any claims related to our Services shall not exceed the amount you paid to us in the 12 months preceding the claim.
• We are not liable for data loss, business interruption, or loss of profits resulting from your use or inability to use our Services.

12. Indemnification

You agree to indemnify, defend, and hold harmless Progztech Solutions PVT LTD, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from your violation of these Terms, your use or misuse of our Services, or your violation of any third-party rights.

13. Termination

13.1 Termination by You

You may terminate your Account at any time by contacting us or using the cancellation feature in your account dashboard.

13.2 Termination by Us

We reserve the right to suspend or terminate your Account and access to our Services at any time, with or without notice, if you violate these Terms, your Account is inactive for an extended period, we discontinue a Service, or as required by law.

13.3 Effect of Termination

Upon termination, your right to access and use our Services will immediately cease. We may delete your Account data in accordance with our data retention policies.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or sending an email notification. Your continued use after such modifications constitutes acceptance of the updated Terms.

15. Privacy & Data Protection

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

16. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, India.

17. Dispute Resolution

In the event of any dispute, you agree to first attempt to resolve the matter informally by contacting us at info@progztech.com. If the dispute cannot be resolved within 30 days, either party may pursue formal legal remedies.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Progztech Solutions PVT LTD regarding your use of our Services.
